  1. Acceptance of Terms

These Terms of Use ("Terms") form a binding agreement between you and Evoqcu Group, LLC, doing business as ApodcStore ("ApodcStore"), governing your access to and use of apodcstore.com, the ApodcStore mobile experience, and all related services, including our luxury marketplace, lending/financing programs, consignment services, Glow Stars loyalty program, and investment offerings (collectively, the "Services").

By creating an account, browsing the site, or using any Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.

 

  1. Eligibility

To use the Services, you must:

  • Be at least 18 years old (or the age of majority in your jurisdiction);
  • Have the legal capacity to enter into a binding contract;
  • Not be barred from using the Services under applicable law; and
  • For investment-related Services, meet the "accredited investor" or other applicable eligibility criteria described in Section 7.

We may verify your identity, age, and eligibility at any time, including through third-party identity verification and Know Your Customer ("KYC") / Anti-Money Laundering ("AML") checks, and may suspend or deny access pending verification.

 

  1. Account Registration

You agree to provide accurate, current, and complete information when creating an account and to keep it updated. You are responsible for:

  • Maintaining the confidentiality of your login credentials;
  • All activity that occurs under your account; and
  • Notifying us immediately at support@apodcstore.com of any unauthorized use.

We may suspend or terminate accounts that provide false information, violate these Terms, or are used fraudulently.

 

  1. Marketplace Services (Buy, Sell, Consign)

4.1 Product Listings

We make reasonable efforts to describe and authenticate luxury items accurately, including through third-party authentication partners. However, we do not guarantee that every description, image, or authentication result is error-free.

 

4.2 Purchases

When you purchase an item, you agree to pay the listed price plus applicable taxes, shipping, and fees. All sales are subject to our Shipping, Returns & Hold Policy.

 

4.3 Selling & Consignment

If you sell or consign items through ApodcStore:

  • You represent that you are the lawful owner of the item (or authorized to sell it) and that it is authentic and not stolen, counterfeit, or encumbered by a lien;
  • You agree to our applicable fee schedule and payout terms, as described in our Payment - Withdrawal & Deposit Policy; and
  • We reserve the right to reject, delist, or return any item that fails authentication or compliance review.

 

4.4 Glow Stars Loyalty Program

Participation in the Glow Stars loyalty program, Glow-Back credits, and related promotions is subject to separate program terms, which we may modify or discontinue at our discretion, subject to applicable law.

 

  1. Lending & Financing Services

If you use ApodcStore's lending or financing programs (e.g., asset-backed loans, e-commerce financing), those transactions are governed by a separate loan or financing agreement provided at the time of the transaction, which will control in the event of a conflict with these Terms.

 

  1. Investment Services — General

ApodcStore may offer access to investment vehicles, including fractional ownership arrangements and funds such as the "Heritage Asset Fund" (each, an "Offering").

 

ApodcStore is not a registered broker-dealer, investment adviser, or bank. Nothing on this site constitutes an offer to sell or a solicitation of an offer to buy any security in any jurisdiction where such offer or solicitation is not permitted.

 

  1. Accredited Investor Offerings

Certain Offerings are available only to investors who qualify as "accredited investors" under Rule 501(a) of Regulation D of the Securities Act of 1933, as amended, or another applicable exemption. By participating, you represent and warrant that:

  • You meet the applicable accredited investor (or other) eligibility standard;
  • You have reviewed and agree to the specific Investor User Agreement and offering documents for that Offering, which control over these general Terms for investment-related matters; and
  • You understand that investing involves risk, including possible loss of principal, and that past performance does not guarantee future results.

  1. Fees

Fees for marketplace transactions, consignment, lending, and investment services are described in our Fee Schedule and applicable offering documents. We may change fees prospectively with notice as required by law.

 

  1. Intellectual Property

All content on the Services — including text, graphics, logos, the ApodcStore name and marks, and site design — is owned by ApodcStore or its licensors and protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content without prior written permission. Third-party luxury brand names and trademarks referenced on the site are the property of their respective owners; no brand owner endorses, sponsors, or is affiliated with ApodcStore.

 

  1. AI-Generated Content

ApodcStore may use AI-generated imagery in marketing materials for illustrative purposes only, as noted on the site. Such imagery does not depict actual inventory items unless stated otherwise.

 

  1. Prohibited Conduct

You agree not to:

  • Use the Services for any unlawful purpose, including money laundering or financing of terrorism;
  • Submit false, misleading, or fraudulent information, including regarding item authenticity, ownership, or investor eligibility;
  • Attempt to circumvent our security, authentication, or KYC/AML processes;
  • Scrape, reverse-engineer, or interfere with the operation of the Services; or
  • Impersonate any person or entity.

We may suspend or terminate access, and report conduct to law enforcement or regulators, for violations of this section.

 

  1. Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Material on this site is for informational purposes only and is not investment, legal, or tax advice, and is not a recommendation, offer, or solicitation to buy or sell any security or to adopt any investment strategy, as further described in our site disclaimers.   1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APODCSTORE, EVOQCU GROUP, LLC, AND THEIR OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

 

  1. Indemnification

You agree to indemnify and hold harmless ApodcStore, Evoqcu Group, LLC, and their officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, misuse of the Services, or violation of any law or third-party right.

 

  1. Dispute Resolution & Arbitration

 

Any dispute arising from these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court. You and ApodcStore each waive the right to a jury trial and to participate in a class action. This section does not apply to disputes that are not subject to arbitration under applicable securities regulations, if any.

 

  1. Governing Law

These Terms are governed by the laws of the State of [Washington Seattle], without regard to conflict-of-laws principles, except where superseded by federal securities law.

 

  1. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the email associated with your account or a notice on the site. Continued use of the Services after changes take effect constitutes acceptance.

We may suspend or terminate your access to the Services at any time, with or without cause, including for violation of these Terms. You may close your account at any time by contacting support@apodcstore.com, subject to completion of any pending transactions or regulatory retention requirements.

 

  1. Miscellaneous
  • Entire Agreement: These Terms, together with the Privacy Policy and any transaction-specific agreements (e.g., Investor User Agreement, loan agreements), constitute the entire agreement between you and ApodcStore regarding the Services.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • No Waiver: Our failure to enforce a provision is not a waiver of our right to do so later.
  • Assignment: We may assign these Terms in connection with a merger, acquisition, or sale of assets.
