Investor User Agreement
APODCSTORE INVESTOR USER AGREEMENT
GENERAL CONDITIONS
By electronically signing this Investor User Agreement (“Agreement”), you acknowledge that you have read, understood, and agree to be bound by ApodcStore’s Terms of Service and Privacy Policy in their entirety. You further agree to comply with all provisions outlined in this Agreement.
In the event of any conflict between this Agreement and the Terms of Service, this Agreement shall govern with respect to investor-related matters.
Unless otherwise stated, all securities-related activities conducted through ApodcStore are only available to accredited investors in compliance with applicable U.S. securities laws, including oversight by the U.S. Securities and Exchange Commission (SEC).
ApodcStore is not a registered broker dealer and does not provide brokerage services.

ApodcStore reserves the right, at its sole discretion, to:
- Modify or update this Agreement or the Terms of Service at any time
- Change, suspend, or discontinue any aspect of the platform
- Restrict or terminate user access without notice for violations or misuse
Continued use of the platform constitutes acceptance of any updates.
INVESTOR ACKNOWLEDGEMENTS
By using ApodcStore, you acknowledge and agree that:
- You are solely responsible for reviewing and understanding all applicable terms and updates.
- Any dated content is provided as of its original publication date and may not be updated.
You further acknowledge that:
- ApodcStore does not endorse or verify investment opportunities listed on the platform.
- ApodcStore makes no guarantees regarding the accuracy, completeness, or reliability of any listing or investment opportunity.
You agree that you will not hold ApodcStore or its affiliates liable for:
- Any losses resulting from investment decisions
- Misrepresentation or omissions by issuers
- Any reliance on platform content
INVESTMENT RISK DISCLOSURE
All investments available through ApodcStore involve significant risk, including but not limited to:
- Potential loss of your entire investment
- Illiquidity of assets
- Limited resale opportunities
- Market volatility and valuation uncertainty
You agree that:
- You will conduct your own due diligence before making any investment
- You understand the risks associated with private and alternative investments
- You are solely responsible for your investment decisions
ApodcStore strongly recommends consulting licensed legal, tax, and financial professionals prior to investing.
INVESTOR REQUIREMENTS
When making an investment decision, you must rely solely on your own evaluation of the issuer and offering.
Investments made through ApodcStore may include opportunities under Regulation Crowdfunding or other applicable exemptions under U.S. securities laws.
You may be required to:
- Verify your investor status (accredited or non-accredited)
- Provide financial and identity documentation
- Comply with applicable investment limits
Failure to provide required information may result in restricted access to investment opportunities.
ACCREDITED INVESTOR STATUS
If you register as an accredited investor, you represent that you meet at least one of the following criteria:
- Net worth exceeding $1,000,000 (excluding primary residence)
- Annual income exceeding $200,000 individually or $300,000 jointly for the past two years
- Entity-based qualifications (e.g., institutions, trusts, or organizations meeting asset thresholds)
You agree to notify ApodcStore immediately if your status changes.
FEES
ApodcStore may charge investor-related fees depending on the offering or transaction. These may include:
- Platform fees
- Transaction fees
- Investor participation fees
All applicable fees:
- Will be disclosed prior to transaction completion
- Are non-refundable unless otherwise stated
- May be added to your total investment amount
ESCROW AND PAYMENT PROCESSING
Funds related to investments or transactions may be held by a third-party escrow provider until:
- Completion of a successful transaction or funding campaign
- Cancellation or failure to meet required conditions
By using the platform, you agree to:
- The terms of any designated escrow provider
- Authorized disbursement of funds as outlined in offering documents
Refunds (excluding applicable fees) may be issued if minimum funding requirements are not met.
CUSTOMER IDENTIFICATION PROGRAM (KYC/AML)
To comply with U.S. regulations, ApodcStore is required to collect and verify user information, including:
- Full legal name
- Date of birth
- Address
- Government-issued identification
- Additional documentation as required
For entities, additional documentation may include:
- Business registration documents
- Ownership structure
- Tax identification numbers
You state that all submitted information is accurate and complete. ApodcStore reserves the right to suspend or terminate accounts for false or misleading information.
USER COMMUNICATIONS & COMMENTS POLICY
ApodcStore may provide features allowing users to interact, comment, or engage with listings and investment opportunities.
You agree that:
- All communications must be respectful and lawful
- No misleading, abusive, discriminatory, or promotional spam content is permitted
- Personal contact information should not be shared publicly
ApodcStore reserves the right to remove content or restrict access at its sole discretion.
NO REPRESENTATIONS OR WARRANTIES
ApodcStore provides the platform “as is” without warranties of any kind.
We do not guarantee:
- Accuracy or completeness of listings
- Performance of investments
- Compliance of issuers with regulatory requirements
All issuers are solely responsible for their offerings and disclosures.

If you believe your copyrighted material has been used improperly, you may submit a notice to:

FINAL ACKNOWLEDGEMENT
By using ApodcStore and participating in any investment or transaction, you confirm that:
- You understand and accept all risks involved
- You have conducted your own independent evaluation
- You agree to comply with all applicable laws and platform policies
